Terms and Conditions

1. In these conditions the term Exhibitor means the signatory of this application and includes all employees and agents of such and the term Exhibition means that described on the reverse hereofThe Organiser means Madcaps &
The Promoters means Times of India Ltd.
2. In case of Joint Ventures howsoever described the Exhibitor is deemed to have obtained the consent of all the individual participants to all the condition of this content.
3. When payment for space is not made when due the organisers reserve the right to charge interest on any overdue amounts at 15% Any loss incurred by the organisers arising thereon must be paid by the Exhibitor.
4. Application for the space must contain detail for the proposed exhibit and the name of any other company represented by the exhibitors whose products are to be shown on or whose service are to be referred to on the stand.
5. The charge for spaces is exclusive of service tax which will be applied on participant amount as per prevailing rates. The charge for space is exclusive of service charge and taxes. It is based on current rates of a pay, rent, charges and
exchange and will be subject to alteration in the event of any change therein. A notice signed by the organisers and sent by recorded delivery to the address on the application form shall be sufficient notice of such amendment to the contract
which shall otherwise remain binding in all respects.
6. The organisers shall have full authority to determine in every respect the allocation of area and position of space and shall be entitled for any reason which in there sole opinion is in the general interest of the Exhibition to alter the general layout
of the situation and area of any particular stand even if already allotted and the Exhibitor shall accept such new allotment of space in substitution of the originally allotted.
7. Upon receipt of this form a contract shall arise between the organisers and the Exhibitor in terms of these conditions subject to variations as mentioned and the relationship of licensor and licensee shall immediately and continue between
the organiser and the Exhibitor. In case of non payment of any sum due or any breach of non observance of any of these condition by the Exhibitor the organiser shall have full right to revoke his license and to re-enter upon the allotted
space and may remove and exclude the exhibitor without prejudice to recovering all monies payable here under, all other claims against human damage sustained by the organisers.
8. Every Exhibitor shall occupy the space allotted by 10:00 am on the day of the opening Exhibition. In the event of default from any clause whatsoever the Exhibitor shall pay to the organiser further sum in liquidated damages equal to the total
charges for the space and the organiser shall have the right to deal with the space in any way they think best.
9. In the event of any Exhibitor committing an act of bankruptcy or if a limited company being wound up the contract with him shall be determined and all monies already paid shall be retained by the organaisers.
10. Exhibitors may not assign, sublet or grant licenses in respect of any part of the space allotted to them nor advertisements of firms who are incorporated in the stand.
11. Exhibitors will be totally responsible for the cost of restoring to its original condition any part of the land or structure occupied by them which has been altered or damaged in anyway which includes Hotel carpets, lights, walls, furniture and
accessories, If the exhibition is taking place in a 5-star property please note that any outside food-transport and consumption is strictly prohibited.
12. Exhibitor will be totally responsible for the obtaining of visas as may be required to enable them. their servants, agents, representatives, invitee, or others to attend the exhibition and in no event shall there be any claim for damages or
otherwise against the Organisers in respect of any loss or expense relating thereto.
13. The Organisers and the Hotel Management will not be responsible for the safety of any Exhibitor, property of any Exhibitor, or any other person, for the loss of, or damage, or destruction to same, by theft, or fire or other cause whatsoever,
or for any loss or damage whatsoever sustained by any Exhibitor, by reason of any defect in a building caused by fire, storm, tempest, lighting, national emergency, war, labor disputes, strikes or lockouts, civil disturbance, explosions, inevitable
accident force majeure, or any other cause not within the control of the Organisers, whether ejusden generis or not, or for any loss or damage occasioned, if by reason of the happenings of any such event, the opening of the Exhibition, is
prevented or postponed, or abandoned, or a building becomes wholly or partially unavailable, for the holding of the Exhibition. The Exhibitor will be liable for third party claims arising from their own stand fittings, and for their proportioned
of the shell scheme and furthermore, for physical loss or damage of the basic shell scheme thereof to any extent available.
14. In no event shall the Exhibitor have any claim for damages of any kind against the Organisers in respect of any loss or damage consequential upon the prevention, or postponement, or abandonment of the Exhibition, by reason of the
happening of any of the events referred to in Condition 13 or otherwise, or of the Exhibition Building becoming wholly or partially unavailable for the Exhibition, for reasons beyond the Organiser control, and the Organisers shall be
entitled to retain all sums paid by Exhibitors, or such part thereof as the Organisers shall consider necessary. If in the opinion of the Organisers, by re-arrangement or postponement of the period of the Exhibition, or by substitution of
another hall, or building, or any other reasonable manner, the Exhibition can be carried through, the contracts for space shall be be binding upon the parties, excepts as the size and position, as to which any modification, substitution, or
rearrangement they consider necessary shall be determined by the Organisers.
15. Stands must be properly manned and exhibits displayed during all the time the Exhibitors is open to visitors. No exhibits may be removed before the end of the Exhibition without the written permission of the Organiser which will only be
given in exceptional circumstances. All exhibits and stand fitting materials must be removed from the Exhibition building within the period stipulated by the Organiser. The Exhibitors shall indemnity the Organiser against any loss by reason
of delay or damage to the Exhibition Building.
16. The Organisers reserve the right to make an additional charge to each Exhibitors equal to any amount charged to them for any service supplied whether specifically ordered or not. The Organiser accept no responsibility for breakdown or failure
of any of the service provided for, or in connection with Exhibition.
17. Breach of contract and withdrawal by the Exhibitor - without prejudice to the right and remedies of the Organiser in respect of any breach of the Contract on the part of the Exhibitor the Organiser may at their discretion allow the
Exhibitor to withdrawal from the Exhibition subject to the following conditions:
1) The Exhibitors must be given written notice to the organiser that he desires to withdraw and if the organiser allow such withdrawal they will notify the Exhibitor of their decision in writing.
2) Any such notification by the Organiser to the Exhibitor will constitute a cancellation of the Contract subject to the payment of the Exhibitor to the Organiser of a Consideration for release from the Contract.
3) The amount of such payment will be specified in the organisers notification to the Exhibitor and will be that proportion of the space rental payable under the contract specified in the second column below which appears
beside the date in he first column below upon which the Organisers receive the notification from the Exhibitor. Date of receipt of intimation to organise regarding cancellation & proportion of amount refundable to the participant
after receipt of notice of withdrawal . On or below 31 days prior to the respective exhibition 50% of stall charges will be refunded . 30 days or less prior to the exhibition. No refund payable.
4) Upon payment of such amount to the organiser by the exhibitor (credit being given by the organiser for all rental already paid by the Exhibitor) the contract shall be cancelled and neither party shall have any further claim against the
other.
18. The Organiser reserve the right to alter, add to, or amend any of these Conditions or not, the decision of the Organiser shall be final. No alternation, addiction, amendment, or waived to or of these Condition shall operate o release any
Exhibitor from this contract.
19. Booth display & equipment shall not extend into aisles. This includes all signs, banners, furniture, etc.
20. Exhibit must not block any exit doorway. Designated fire exists have been identified and these areas cannot be encroached upon under any circumstances. Any build up of materials or storage of materials or equipment in these areas is not
permitted. Any materials or equipment found in these designated areas will be required to be moved immediately by the persons responsible for the materials.
21. Claims: The Organiser cannot accept any complaint or claim against them unless it is submitted in writing to the address given below within two weeks of the closing date of the Exhibition. The Organiser reserve the right to alter, add to, or
amend any of these conditions or not, the decision of the Organiser shall be final. No alterations, addition, amendment or waiver to or of these Conditions shall operate to release any Exhibitor from his contract.
22. Particular attention is drawn to the relevant safety standards which must be strictly observed for any exhibits involving lasers or radioactive material, or which might provided noxious fumes or which make use of or display any other
materials which may involve a danger to the health or safety of any person. No such materials may be brought into the Exhibition without the prior agreement in writing of the Organiser and also the Exhibitors or person responsible
agreeing to indemnify the Organiser against any claim or actions arising from the use of display of such materials.
23. It is proposed that the stalls at the exhibition will be handled over to the participants 7:00 pm onwards on the first day (Saturday) of each of the exhibition in all 4 locations. Participants are requested to note that they will be allowed to
decorate and arrange their stalls strictly between 7:00 am to 10:00 am on the first day (Saturday). The Exhibition will be open to public viewing between 10.30am and 7:00pm on both days of the exhibition(Saturday&Sunday) at all 4 locations.
24. Any other extra facility required apart from the facilities made available in the stall provided will have to be applied for and will be charged extra. The requirements should be availed strictly from our official contractors only. In case a participant
would like to obtain special infrastructure at the exhibition from a different vendor or his own displays, it is necessary for the participant to inform the organiser accordingly.
25. The responsibility of all business transacted by the exhibitors / participants with the invitee / visitors at this exhibition solely rests with the exhibition / participant and Madcaps / The Times of India will not be responsible for any claims
disputes arising from this transaction.
26. We have delegated an efficient security agency: however, you are requested to take adequate measures for the safety & security of your products / displays. The final responsibility of t he products & display rests solely on the participant.
27. The exhibition concludes on Sunday at 8:00 pm. The exhibitors / participants should make suitable arrangements to move their products / displays / material out of the venue by midnight on Sunday at all 5 locations.
These rules and regulations will be deemed to form part of this contract and shall be binding on the exhibitor. Additionally, the Organiser may at any time make further rules and regulations, having immediate effect, in relation to any respects of the exhibition.
